Minimum Advertised Price (MAP) Policy

Toce Performance is committed to supporting a strong and profitable reseller network. In recognition of the investment our dealers make in customer service, product support, marketing, and brand representation, Toce Performance has established this Minimum Advertised Price (“MAP”) Policy for all authorized resellers of Toce Performance products.

This MAP Policy is intended to protect the long-term value of the Toce Performance brand while allowing authorized resellers to compete fairly in the marketplace.

All authorized resellers of Toce Performance products are required to comply with the terms and conditions outlined below. This policy applies to all forms of advertising and marketing, including online marketplaces such as Amazon and eBay.

MAP Pricing Guidelines

Current MAP pricing for Toce Performance products is published through authorized dealer price lists and/or official pricing published by Toce Performance.

If a MAP price has been established for a product, all advertised pricing must be at or above the established MAP price.

The following advertising practices are prohibited:

• Advertising prices below MAP
• Statements implying pricing below MAP, including “Call for price,” “Call for quote,” “Add to cart for lower price,” “Save X%,” or “Message for best price”
• Coupon codes, rebates, gift card promotions, or discounts specifically applicable to Toce Performance products
• Marketplace listings below MAP, including Amazon, eBay, online marketplaces, and similar third-party platforms

This MAP Policy applies to all forms of advertising, including but not limited to websites, marketplace listings, paid search advertisements, social media advertisements, email marketing, printed catalogs, flyers, mailers, broadcast advertising, forum postings, banner advertisements, and third-party selling platforms.

Authorized resellers are responsible for ensuring all advertised pricing, including automated pricing feeds and search engine listings, remain compliant with current MAP policies.

Permitted Promotions

The following promotional practices do not violate this MAP Policy, provided the advertised product price itself remains at or above MAP:

• Free shipping
• Free handling
• Free installation offers
• Financing promotions
• Package deals involving non-Toce products or services
• Loyalty or rewards point programs that apply across general website purchases and are not specifically advertised as direct discounts on Toce Performance products

Toce Performance may, at its sole discretion, offer direct customer incentives through its own website, including abandoned cart recovery promotions, shipping incentives, loyalty rewards, or customer retention programs. These promotions are exclusive to Toce Performance direct sales channels and may not be advertised, replicated, or promoted by authorized resellers, distributors, or third-party marketplace sellers.

From time to time, Toce Performance may authorize temporary promotional pricing below MAP for specific products or promotional periods. Any such exceptions will be communicated directly to authorized resellers in writing.

International Dealers

For international dealers and distributors, advertised pricing must remain compliant with MAP requirements after applicable duties, import costs, VAT, taxes, and regional fees are considered.

Policy Enforcement

Toce Performance reserves the sole and exclusive right to interpret, enforce, modify, suspend, or discontinue this MAP Policy at any time without prior notice.

Failure to comply with this MAP Policy may result in corrective action, including but not limited to:

• Suspension of purchasing privileges
• Loss of authorized reseller status
• Restriction from purchasing through distribution channels
• Permanent termination of dealer eligibility

Enforcement actions are determined solely at the discretion of Toce Performance.

Toce Performance is not seeking, nor will it accept, any agreement from resellers regarding actual resale pricing.

Updated pricing lists may be issued periodically and must be implemented immediately upon receipt unless otherwise stated in writing by Toce Performance.

Reporting Violations

If you believe a reseller is violating this MAP Policy, please report the information to Toce Performance by email or phone. Screenshots, links, or supporting documentation are appreciated and will assist in verification and enforcement efforts.

All reports will be handled confidentially whenever possible.

Acknowledgement

By purchasing or advertising Toce Performance products as an authorized reseller, dealer acknowledges and agrees to comply with the terms of this MAP Policy.
